Affiliate Program Terms

Program Agreement

These JD BioWorks Affiliate Program Terms form a binding agreement between JD BioWorks and each person or entity accepted into the JD BioWorks Affiliate Program. By applying, accepting program access, using an affiliate link or code, receiving a complimentary sample, or earning a commission, the affiliate agrees to these Terms, the JD BioWorks Terms and Conditions, Privacy Policy, Research Use Only Policy, and any written program instructions supplied by JD BioWorks.

JD BioWorks may approve or decline any application in its discretion. Submission of an application does not guarantee acceptance. If an affiliate acts for an organization, the affiliate represents that the affiliate is authorized to bind that organization.

1 Eligibility and Account Requirements

• Affiliates must be at least 21 years old and legally able to enter a binding agreement.
• Application and payment information must be accurate, complete, and current.
• Each affiliate must maintain one approved program account unless JD BioWorks authorizes otherwise in writing.
• Program access and acceptance are personal to the approved affiliate and may not be transferred, sold, sublicensed, or shared.
• JD BioWorks may require identity, tax, audience, channel, or business verification before activation or payment.
• Acceptance does not authorize an affiliate to purchase, possess, use, recommend, or promote any product for human or veterinary use.

2 Independent Contractor Relationship

The affiliate is an independent contractor and is not an employee, agent, franchisee, legal representative, joint venturer, reseller, distributor, health professional, or spokesperson authorized to bind JD BioWorks. The affiliate controls the lawful manner and means of creating approved content, subject to these Terms. The affiliate has no authority to make promises, warranties, representations, refunds, discounts, regulatory statements, or commitments on behalf of JD BioWorks.

3 Research Use Only Marketing Standard

JD BioWorks products are offered solely for legitimate laboratory, analytical, educational, institutional, or commercial research. They are not intended for human or veterinary use, consumption, administration, diagnosis, treatment, cure, mitigation, or prevention of disease. Every affiliate communication must remain consistent with this restriction.

Permitted Topics

• Public product specifications, labeled quantities, current pricing, availability, lot numbers, and lot-specific Certificates of Analysis.
• Analytical methods and documentation, provided that the affiliate accurately describes what a report does and does not establish.
• JD BioWorks customer service, website navigation, shipping information, research-account requirements, and payment options.
• Neutral discussion of published scientific literature that clearly distinguishes laboratory, animal, and human evidence and does not promote personal use.
• The affiliate program, the affiliate discount, and the affiliate’s own truthful experience with JD BioWorks service or documentation.

Prohibited Topics and Conduct

• Any suggestion that a JD BioWorks product is intended or appropriate for injection, ingestion, inhalation, topical application, administration, personal use, clinical use, cosmetic use, bodybuilding, weight loss, wellness, or veterinary use.
• Dosing, cycling, stacking, reconstitution, mixing, injection, administration, titration, storage for personal use, or similar instructions.
• Claims or implications that a product diagnoses, treats, cures, mitigates, prevents, or improves a disease, condition, symptom, injury, appearance, body composition, sexual function, athletic performance, longevity, or other human or animal outcome.
• Before-and-after images, personal-use testimonials, patient stories, transformation claims, or depictions of self-administration.
• Statements that a product is FDA approved, clinically proven, safe, sterile, pharmaceutical grade, medical grade, therapeutic, or suitable for human use unless JD BioWorks has supplied the exact statement in writing for the exact item and context.
• False, misleading, unsubstantiated, exaggerated, or selectively edited statements about products, competitors, laboratories, Certificates of Analysis, shipping, pricing, availability, or the affiliate relationship.
• Promotion to minors or placement in content primarily directed to people under 21.
• Promotion in a jurisdiction or on a platform where the product, content, link, discount, or affiliate marketing activity is restricted.
• Spam, unsolicited commercial messages, deceptive redirects, cookie stuffing, adware, malware, forced clicks, fake reviews, review manipulation, impersonation, or misleading domains or social accounts.

4 Required Affiliate Disclosure

An affiliate must clearly and conspicuously disclose the financial relationship with JD BioWorks whenever the affiliate endorses, recommends, links to, tags, reviews, or otherwise promotes JD BioWorks or its products. The disclosure must appear close to the endorsement or link, be understandable to an ordinary viewer, and be made in each separate post, video, story, livestream, email, article, or other communication.

Short-form alternative: Paid link. I may earn a commission if you purchase.

A profile-page disclosure, a disclosure hidden below a fold or behind a vague hyperlink, or the words affiliate link, ambassador, partner, gifted, or commissionable link by themselves may be insufficient. Video disclosures must be presented in the video and near the link or code in the description. Audio content must include an audible disclosure.

5 Commission Tiers

Commission tiers apply to personal affiliates and are based on Net Referred Sales credited to the affiliate. Website partners with a separate written arrangement remain subject to that arrangement. Rates apply to qualifying orders recorded after the affiliate reaches a threshold and are not retroactive unless JD BioWorks states otherwise in writing. Once earned, a tier remains active for 60 days. At the end of that period, JD BioWorks may recalculate the tier using the affiliate’s most recent 30 days of Net Referred Sales.

JD BioWorks may establish an additional negotiated rate for a high-volume strategic partner through a separate written agreement. No affiliate has a right to a rate above 25 percent under these standard Terms.

6 Customer Discounts

• A new qualifying customer receives 10 percent off the first qualifying purchase attributed to an approved personal affiliate.
• A returning qualifying customer receives 5 percent off qualifying purchases attributed to an approved personal affiliate.
• Website partner codes remain subject to their separate written arrangements.
• A customer is new only if the customer and related accounts, contact information, addresses, payment information, devices, and purchasing history do not indicate a prior JD BioWorks purchase.
• Discounts do not apply to taxes, shipping, gift cards, special quotes, wholesale or institutional pricing, prior purchases, or excluded products.
• Discounts may not be combined unless JD BioWorks expressly permits stacking at checkout.
• Affiliates may not reimburse customers, split commissions, sell codes, publish unauthorized coupon claims, or represent a discount as cash or store credit.

7 Tracking and Attribution

JD BioWorks ordinarily uses a 60-day first-party referral attribution period beginning when a visitor follows an approved affiliate link. A valid affiliate code may also establish attribution when accepted at checkout. Attribution is subject to browser settings, consent, device changes, account matching, valid code entry, technical limitations, fraud screening, and the final data retained by JD BioWorks.

• The most recent valid affiliate link or code recorded before checkout ordinarily receives credit.
• JD BioWorks may correct attribution when reliable records show fraud, self-referral, duplicate claims, technical error, or an authorized customer-support adjustment.
• An affiliate may not interfere with another affiliate’s tracking or induce a customer to replace a valid code after the customer has chosen another affiliate.
• JD BioWorks does not guarantee uninterrupted tracking and is not responsible for attribution lost because of blocked cookies, deleted storage, unsupported devices, invalid links, or customer action.

8 Qualifying Sales and Commission Calculation

A Qualifying Sale is an order that is properly attributed to the affiliate, accepted by JD BioWorks, paid and verified, not cancelled, refunded, reversed, charged back, fraudulent, duplicated, self-referred, or otherwise disqualified, and compliant with these Terms and JD BioWorks purchasing restrictions.

Net Referred Sales means the merchandise subtotal actually collected by JD BioWorks after customer discounts, credits, refunds, reversals, and excluded amounts. Taxes, shipping charges, payment fees, gift cards, complimentary products, samples, special quotes, wholesale or institutional orders, and any amount JD BioWorks does not retain are excluded.

Commissions are calculated by multiplying the applicable commission rate by Net Referred Sales. Commission calculations use JD BioWorks records and may be rounded to the nearest cent.

9 Pending Commissions and Payment

• Zelle orders remain pending until JD BioWorks manually verifies receipt of payment.
• Pay by Bank orders remain pending until the payment is confirmed and the order is eligible for release.
• Commissions ordinarily remain pending for at least 30 days after verified payment to allow for cancellation, refund, fraud, compliance, and reconciliation review.
• Approved commissions are scheduled for payment twice monthly after the affiliate reaches a $100 minimum payable balance.
• The affiliate must provide accurate payment and tax information, including a completed Form W-9 or other required documentation, before payment.
• JD BioWorks may hold payment while investigating an order, return, dispute, policy violation, ownership question, tax issue, payment error, or suspected fraud.

10 Returns Refunds Reversals and Negative Balances

No commission is earned on an order or amount that is cancelled, refunded, reversed, charged back, not collected, or determined to be ineligible. JD BioWorks may deduct or offset the related commission from pending or future earnings. If no sufficient balance exists, the affiliate must repay an overpayment within 30 days after written notice.

11 Self Referrals and Related Transactions

Affiliates may not earn commissions or use affiliate discounts on their own purchases or purchases made by household members, controlled entities, employees acting for the affiliate, or any person whose purchase is funded, reimbursed, directed, or arranged by the affiliate. JD BioWorks may treat accounts, devices, addresses, payment information, referral behavior, and other reliable signals as related when enforcing this rule.

12 Complimentary Samples

An accepted affiliate may receive one complimentary research sample during onboarding, subject to availability, eligibility, account approval, shipping restrictions, and research-use requirements. A sample has no cash value, may not be resold, and does not guarantee continued participation. The affiliate must disclose receipt of a free sample whenever that fact could affect how an audience evaluates the affiliate’s endorsement.

13 Brand and Intellectual Property License

While the affiliate remains in good standing, JD BioWorks grants a limited, revocable, nonexclusive, nontransferable license to use approved program links, codes, logos, product images, and marketing assets solely to promote JD BioWorks in compliance with these Terms. The affiliate may not alter a logo, remove a research-use warning, create confusingly similar branding, register a domain or account containing JD BioWorks or a misspelling, imply ownership or official-company status, or use JD BioWorks intellectual property after termination.

14 Paid Advertising Search and Coupon Restrictions

• No bidding on JD BioWorks, JD Bio Works, product names combined with JD BioWorks, misspellings, domains, or other protected brand terms in paid search without written permission.
• No direct linking from paid advertisements to JD BioWorks without written permission.
• No unauthorized coupon, deal, browser-extension, toolbar, cashback, pop-up, or code-injection promotion.
• No advertisement may imply a medical, personal-use, body-composition, cosmetic, or therapeutic purpose.
• All paid advertisements and landing pages must comply with the platform’s rules and these Terms.

15 Monitoring Records and Corrective Action

JD BioWorks may review public affiliate content, request URLs or copies, require substantiation, provide corrective instructions, and require prompt modification or removal. An affiliate must preserve promotion and disclosure records for at least two years and provide them upon reasonable request. The affiliate must remove or correct noncompliant content promptly and no later than 24 hours after notice unless JD BioWorks specifies a shorter period for urgent legal, safety, or platform concerns.

16 Suspension and Termination

Either party may end participation at any time by written notice. JD BioWorks may immediately suspend links, codes, discounts, commissions, samples, program access, or payments when it reasonably believes an affiliate violated these Terms, created legal or reputational risk, promoted prohibited use, engaged in fraud or deceptive practices, failed to make required disclosures, submitted inaccurate information, or otherwise acted inconsistently with the program.

After termination, the affiliate must stop presenting itself as a JD BioWorks affiliate and stop using program assets. JD BioWorks will review any unpaid balance and may pay only commissions that were validly earned before termination and are not subject to withholding, offset, forfeiture, investigation, refund, reversal, or policy violation.

17 Confidentiality and Data Protection

An affiliate may receive nonpublic commercial, product, operational, customer, commission, or program information. The affiliate must protect that information, use it only for authorized program activity, and not disclose it without written permission. Affiliates may not collect payment credentials, identity documents, health information, or other sensitive information on behalf of JD BioWorks. Customer information visible through a program dashboard may be used only as necessary to review legitimate referral activity and may not be exported, sold, contacted, profiled, or used for unrelated marketing.

18 Taxes

The affiliate is responsible for all taxes, filings, licenses, registrations, insurance, expenses, and obligations arising from affiliate activity and payments. JD BioWorks may report payments and withhold amounts as required by law.

19 No Guarantee

JD BioWorks does not guarantee acceptance, traffic, conversions, sales, commission amounts, continued product availability, a particular tier, uninterrupted tracking, or future program operation. The website, program, links, dashboard, and materials are provided as available, subject to rights that cannot lawfully be excluded.

20 Indemnification and Limitation of Liability

To the extent permitted by law, the affiliate will defend, indemnify, and hold harmless JD BioWorks and its personnel from third-party claims, losses, penalties, liabilities, and reasonable costs arising from the affiliate’s content, conduct, violation of law, breach of these Terms, infringement, privacy violation, prohibited claim, or misuse of program assets. This obligation does not apply to the extent a claim results from JD BioWorks conduct for which indemnification cannot lawfully be required.

To the maximum extent permitted by law, JD BioWorks will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost data, lost opportunity, or business interruption arising from the program. JD BioWorks aggregate liability relating to the program will not exceed the unpaid valid commissions earned by the affiliate during the three months preceding the event giving rise to the claim. These limitations do not apply where prohibited by law.

21 Changes to the Program

JD BioWorks may change commission rates, thresholds, discount amounts, eligibility rules, excluded products, attribution periods, payment schedules, or these Terms prospectively. Material changes will be posted or communicated through the affiliate account or registered email. Continued use of the program after the stated effective date constitutes acceptance of the revised Terms. An affiliate who does not agree must stop using the program.

22 Governing Law and General Terms

These Terms are governed by California law and applicable federal law, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally may be brought in a court of competent jurisdiction in Los Angeles County, California, unless applicable law requires another forum. If a provision is unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue. A waiver must be in writing. These Terms and incorporated policies are the complete agreement concerning the standard affiliate program and supersede prior program statements, except for a separate written agreement signed by JD BioWorks.

This section provides operational rules for content creation. It is part of the Affiliate Program Terms.

Required Elements for Every Promotion

1. Place a clear commission disclosure beside the endorsement, link, or code.
2. Describe JD BioWorks materials as research use only and not for human or veterinary use.
3. Use only current product, price, discount, shipping, testing, and availability information.
4. Link to the exact JD BioWorks product, affiliate page, catalog, or approved landing page.
5. Keep scientific statements tied to the exact source, model, material, and limitations.
6. Remove or correct outdated or noncompliant content promptly when notified.

Approved Examples

Brand statement: JD BioWorks supplies research materials for qualified laboratory and analytical use only.

Documentation statement: Review the current lot-specific Certificate of Analysis and the test methods reported for the material before ordering.

Discount statement: New qualifying customers receive 10 percent off their first qualifying purchase through my link. Returning qualifying customers receive 5 percent off. Terms apply.

Payment statement: JD BioWorks offers Zelle or Pay by Bank at checkout. Payment verification and compliance review apply.
