1. Acceptance of These Terms
These Terms of Service govern access to and use of jdbioworks.com, including its public pages, Research Portal, account features, product catalog, documentation library, cart, and any future ordering services. By using the site, creating an account, or submitting an order when ordering becomes available, you agree to these Terms and to the policies linked from them. If you do not agree, do not use the restricted portions of the site or submit an order.
2. Eligibility and Authorized Accounts
You must be at least 21 years old and legally able to enter into a binding agreement. Research-product access is intended for legitimate laboratory, analytical, educational, institutional, or commercial research activity. If you act for an organization, you represent that you are authorized to bind that organization. JD BioWorks may request additional information, decline registration, limit access, require reverification, or suspend an account at any time.
3. Research-Use Restriction
Products displayed on this site are offered solely for legitimate laboratory and analytical research. They are not intended for human or veterinary use, consumption, administration, diagnosis, treatment, prevention, or other bodily use. You may not inject, ingest, inhale, apply, administer, or otherwise use a product in or on a person or animal. You may not purchase, transfer, distribute, or resell a product for personal, medical, cosmetic, bodybuilding, weight-loss, wellness, clinical, or veterinary use.
JD BioWorks does not provide dosing, reconstitution, injection, administration, medical, clinical, or veterinary guidance. An account approval, product listing, disclaimer, or analytical report does not authorize an otherwise unlawful use.
4. Account Information and Security
You must provide accurate, complete, and current information and keep your login credentials confidential. You are responsible for activity conducted through your account unless applicable law provides otherwise. Notify support@jdbioworks.com promptly if you believe an account has been accessed without authorization. You may not share an approved account or use another person’s credentials.
5. Product Information
Product names, stated quantities, descriptions, photographs, availability, specifications, and prices are provided for catalog and research-documentation purposes. JD BioWorks attempts to keep this information accurate but may correct typographical errors, update documentation, change pricing, or withdraw a listing. Website photographs are illustrative and packaging may vary. Product information must be evaluated together with the applicable label and lot-specific documentation.
6. Certificates of Analysis and Testing
Where available, analytical documentation is associated with a specific product and lot. A reported identity or purity result describes only the test performed, the tested sample, and the limitations of that method. It does not establish sterility, endotoxin status, microbial status, safety, effectiveness, clinical suitability, or suitability for an unauthorized use unless the report expressly documents the relevant test. Pending documentation must not be treated as a completed test result.
7. Orders and Acceptance
Displaying a product or allowing an item to be placed in a cart is not an acceptance of an order. If ordering is enabled, an order is an offer to purchase subject to account status, inventory, intended-use review, payment authorization, shipping restrictions, fraud review, and JD BioWorks’ final acceptance. JD BioWorks may limit quantities or reject, hold, or cancel an order when reasonably necessary for verification, safety, legal, payment, fraud, inventory, or shipping reasons.
8. Prices, Taxes, and Payment
Prices are shown in U.S. dollars unless stated otherwise. Applicable taxes, shipping charges, and other disclosed charges will be shown before an order is submitted. The customer is responsible for accurate resale or exemption documentation. Available payment methods and instructions are disclosed at checkout. Manual-payment orders remain on hold until payment is verified, and unpaid reservations may be cancelled after the stated payment window. Customers should send payment only using the instructions displayed for their submitted order. JD BioWorks does not request complete payment-card numbers or card security codes by email and does not intentionally store them.
9. Shipping and Delivery
Available destinations, carriers, processing estimates, address requirements, and shipment holds are governed by the Shipping Policy shown at checkout. Shipping dates are estimates unless expressly guaranteed. If JD BioWorks cannot ship within the promised time—or within the period required by applicable law when no time is stated—it will provide any delay notice, cancellation option, or refund required by law. Customers are responsible for providing a complete, deliverable address and for reviewing tracking and delivery notices.
10. Inspection, Returns, and Refunds
Inspect a shipment promptly after delivery and report an incorrect item, visible transit damage, missing contents, or a documentation discrepancy within the time stated in the Returns and Refunds Policy. Because research materials may involve storage and chain-of-custody concerns, eligibility for return may depend on whether an item is unopened, correctly stored, and capable of being verified. Nothing in these Terms limits rights that cannot lawfully be waived.
11. Cancellations, Holds, and Account Suspension
JD BioWorks may cancel or hold a transaction, refund an authorized payment, restrict purchasing, or suspend an account when information is incomplete or inconsistent, an intended-use concern arises, an account appears compromised, a payment or fraud signal requires review, a destination is restricted, inventory is unavailable, or continued service may violate law or policy. A single automated signal will not necessarily determine the final outcome; JD BioWorks may conduct manual review.
12. No Professional Advice
Website content is general research and documentation information. It is not medical, pharmaceutical, clinical, veterinary, legal, tax, or other professional advice. You are responsible for obtaining appropriate professional guidance and determining whether your receipt, storage, handling, research activity, recordkeeping, transfer, and disposal are lawful.
13. Intellectual Property
The site’s design, text, graphics, logos, photographs, downloads, and other content are owned by or licensed to JD BioWorks and are protected by applicable intellectual-property laws. JD BioWorks grants you a limited, revocable, nonexclusive, nontransferable right to use the site for its intended purpose. You may retain documentation supplied with a purchased product for legitimate internal research records. No other license is granted.
14. Prohibited Site Conduct
You may not use the site to violate law; misrepresent identity or authority; circumvent account or purchasing controls; interfere with security or operation; introduce malicious code; scrape restricted information at scale; copy or misuse branding; submit fraudulent payment or verification information; or facilitate prohibited human or veterinary use. Automated access requires prior written permission unless applicable law provides otherwise.
15. Third-Party Services and Links
The site may rely on hosting, analytics, email, shipping, payment, security, laboratory, and other third-party services. Third-party sites and services are governed by their own terms and privacy practices. A link or integration does not constitute endorsement, accreditation, or a guarantee of continued availability.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” JD BIOWORKS DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT THOSE WARRANTIES MAY LAWFULLY BE DISCLAIMED. JD BIOWORKS DOES NOT WARRANT A PARTICULAR RESEARCH OUTCOME, UNINTERRUPTED SITE OPERATION, OR THAT A SPECIFIC DOCUMENT OR PRODUCT WILL REMAIN AVAILABLE. RIGHTS THAT CANNOT BE DISCLAIMED REMAIN UNAFFECTED.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JD BIOWORKS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM THE SITE, AN ACCOUNT, OR A TRANSACTION. WHERE A MONETARY LIMIT IS PERMITTED, JD BIOWORKS’ AGGREGATE LIABILITY ARISING FROM A PRODUCT ORDER WILL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.
18. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless JD BioWorks and its personnel from third-party claims, losses, and reasonable costs arising from your material breach of these Terms, misuse of the site or products, false account information, unlawful transfer, or prohibited human or veterinary use. This section does not require indemnification for JD BioWorks’ own conduct where such indemnification is prohibited.
19. Events Beyond Reasonable Control
JD BioWorks is not responsible for delay or failure caused by events beyond its reasonable control, including carrier disruption, severe weather, natural disaster, utility or internet failure, labor disruption, government action, supply interruption, or security incident, provided that legally required notices, refunds, or other remedies remain available.
20. Electronic Communications
You consent to receive account, verification, policy, order, and security communications electronically at the email address associated with your account. You are responsible for keeping that address current. Optional marketing messages require a separate opt-in and may be unsubscribed from without affecting required transactional messages.
21. Governing Law and Disputes
These Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally may be brought in a court of competent jurisdiction in California, unless applicable law requires another forum. These Terms do not impose mandatory arbitration or a class-action waiver.
22. Changes, Severability, and Entire Agreement
JD BioWorks may update these Terms prospectively by posting a revised version and effective date. Material changes may also be communicated through the site or account email. If a provision is unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue. A failure to enforce a provision is not a waiver. These Terms and the incorporated policies form the agreement concerning the site and any accepted transaction.
